VAT Reclaim Agreement

Parties to Agreement

And

(2) Prestige Tax Refund Ltd whose office and principal place of business is at 18 The Mill, Horton Road, Stanwell Moor, Staines, TW19 6BJ, United Kingdom

Each individually a Party, and together the Parties, to this Agreement.

The Agreement:

This agreement is a confirmation of the Client’s instructions to authorise Prestige Tax Refund Ltd to act on behalf of the above named Company (also referred to hereunder as ‘you’, the ‘Client’or the ‘Company’) to prepare and submit any pending claims for the recovery of Value Added Tax incurred within the European Union under the EU VAT 8th/13thdirective for a period of 3 annual vat claims. This agreement remains effective until a termination notice of not less than 6 months is given by one party to the other due to any pending vat claims yet held by the tax authorities for approval.

Basis of our Service:

1. Prestige Tax Refund Ltd will act as the exclusive agent to recover any VAT tax authorities, which has not been recovered by any other means.
2. Prestige Tax Refund Ltdwill prepare, examine and process the VAT Refund claims on behalf of the Client and submit them to the relevant tax authorities.
3. Prestige Tax Refund Ltd will analyse and determine the validity of invoices for inclusion in your VAT Refund claims in accordance with all the Tax Laws in force in the United Kingdom and Europe.
4. Prestige Tax Refund Ltd will transfer any refunds due to the specified bank account Holder i.e. Company or individual below, less our agreed standard commission fee within seven working days of receipt of funds from the Tax authorities.
5. Prestige Tax Refund Ltd will manage and maintain contact with the relevant tax authorities while the VAT refund is being processed.
6. Prestige Tax Refund Ltd willNOT charge you for the service if the claim is unsuccessful, unless the VAT refund claim is rejected due to the failure of the Client to produce or deliver to Prestige Tax Refund Ltd any documents requested by the UK or the European tax authorities to meet and fulfil the appropriate tax rules, regulations and deadlines.
7. In the event that a claim is rejected due to the failure of the Client to provide any information or documentation requested by any tax authority by the due deadline, Prestige Tax Refund Ltd reserves the right to charge and invoice the Client for the full service fees amount due.
8. The UK and European tax authorities have the right to issue penalties against the claimant for any misrepresentation of claim, or for failure to provide any requested information or documentation. The full liability for any such penalties issued remains the sole responsibility of the Client.
9. If, after a claim has been rejected or penalties have been issued by the tax authorities due to non-compliance of the Client in regards to clauses 7 and 8 above, Prestige Tax Refund Ltd will only enter into correspondence with the tax authorities after the full admin fees have been paid and reserves the right to increase such fees by 50%.


The Company’s Commitment to Prestige Tax Refund:

1. The Client must supply Prestige Tax Refund Ltd with all the required original documents i.e. VAT invoices incurred in the United Kingdom and Europe (if claiming from more than one EU country), company commercial certificate for each country that the Client wishes to claim a VAT refund from, and a duly signed agreement.
2. The Client, by signing the letter of engagement, is enabling Prestige Tax Refund Ltd to be the exclusive agent to act and deal on behalf of the Client to the relevant tax authorities.
3. In the event where the local tax authority communicates directly with the Client, these communications and any relevant correspondence must be forwarded to Prestige Tax Refund Ltd immediately to avoid any delays with any VAT claims pending.

4. In the event where the local tax authority issues a payment directly to the Client, Prestige Tax Refund Ltd shall issue an invoice for the agreed commission fee, and the Client undertakes to pay Prestige Tax Refund Ltd invoice within 30 days of receipt.
5. The Client undertakes to repay any monies obtained wrongfully from the tax authorities.
6. In the event where the tax authorities require more information about the Client i.e. nature of business, or any related evidence to support the VAT refund claim, the Client must comply and produce the requested information to Prestige Tax Refund Ltd no more than 14 days from the date of correspondence. Any failure to provide the requested information may lead to penalties being imposed by the tax authorities.


Our Administration Fees:

1. Prestige Tax Refund Ltd standard fees are 15% of the total VAT value of the claim submitted subject to a minimum fee of £100.00 (please note that we will NOT charge you any upfront fees until the full refund is approved and payment received from the local Tax authority).
2. In cases where invoices are incorrectly issued or not produced to the Client, Prestige Tax Refund Ltd shall contact the suppliers on behalf of the Client to obtain and rectify the VAT invoices. This will incur an additional charge of 5% of the total VAT recovered.
3. In cases where the tax authorities have requested further information or documentation, Prestige Tax Refund Ltd reserves the right to charge additional admin fees of up to 10% of the amount of vat actually refunded. The actual rate of fee charged under the provision of this clause 3 will be dependent on the amount of additional work required to resolve the claim.


Refund Payment:

1. Prestige Tax Refund Ltd shall transfer the repayment to the below mentioned account within seven working days once approved and received from the tax authorities to the Company less the agreed administration fees for the service provided.
2. For repayments to be made to a third party, we will require full written instructions.
3. All bank transfer fees shall be paid by the recipient.
4. Cash available on request (in London only) at an additional handling fee of 3% of the total vat refunded.
5. Refunds can also be made by GBP Sterling cheque, please indicate below if you prefer to receive a cheque.


Agreement of these Terms:

By signing and returning a copy of this agreement, the Client is agreeing to comply in full with all the terms of Prestige Tax Refund Ltd standard agreement.
